1. Parties, Scope, and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between C&L Trading Co. Limited, a company registered in England and Wales (company number 17006294), with registered office at 167-169 Great Portland Street, London, England, W1W 5PF, United Kingdom ("we", "us", "our", "Fence Software Hub") and any person or entity that accesses or uses the website fencesoftwarehub.com (the "Website") or any services offered through it ("you", "your").
The Website operates as an online directory of software products and services relevant to the fencing installation industry. We do not manufacture, sell, resell, distribute, or endorse any software product listed on the Website.
1.1 Acceptance
By accessing or using the Website in any way — including browsing, submitting a listing enquiry, paying for a service, or clicking "I agree" on any form — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease using the Website.
1.2 Two Classes of User
These Terms apply to two distinct categories of user, each with different obligations:
- Visitors — individuals or businesses browsing the Website to research fence software products. No account or registration is required.
- Vendors — software companies or individuals whose products are listed in the directory, whether by submitting a listing themselves or by us collecting publicly available information about their product.
Where a clause applies to only one category, this is stated explicitly. All other clauses apply to both.
1.3 Business Users Only
The Website is intended for use by businesses and professionals in the fencing industry. By using the Website you represent that you are acting in the course of a business or trade and not as a consumer. UK consumer protection legislation (including the Consumer Rights Act 2015) does not apply to these Terms to the extent it only protects individuals acting outside a business context. If you are a US consumer, statutory rights that cannot be excluded by contract are preserved.
1.4 Eligibility
You must be at least 18 years old and have full legal capacity to enter into a binding contract to use the Website or purchase any service. By using the Website you warrant that these conditions are met.
2. Our Services
2.1 Directory Listings
Fence Software Hub provides an online directory where fence software products are listed for the benefit of fence installation businesses seeking software solutions. Listings may be:
- Basic listings — provided free of charge, containing publicly available information we have sourced and/or information submitted by the vendor.
- Featured or Premium listings — paid placements offering enhanced visibility, additional content fields, or prominent positioning on the Website.
2.2 Advertising Placements
We offer one-off paid advertising placements on the Website, including homepage features and banner positions. Advertising placements are subject to availability and our editorial discretion. Payment for an advertising placement does not guarantee any specific result, traffic level, or number of leads.
2.3 Lead Generation and Referrals
We may offer lead generation or referral services whereby we direct prospective customers to vendors. The terms of any such service will be agreed separately in writing. We make no guarantee as to the volume, quality, or conversion rate of any leads generated.
2.4 Nature of the Directory
We are a neutral information platform. We are not a party to any transaction between a visitor and a software vendor. We do not act as agent, broker, or intermediary for any vendor. Any decision to purchase, trial, or engage with software listed on the Website is made entirely at your own risk.
3. Listing Content, Accuracy, and Our Role
3.1 Source of Listing Information
Listing information is sourced in one or both of the following ways:
- Vendor-submitted information — provided directly by the software company via our online submission form or by other means of communication.
- Publicly available information — collected by us from sources such as the vendor's own website, press releases, trade publications, or other publicly accessible materials.
3.2 No Verification of Accuracy
Visitors must conduct their own due diligence before making any purchasing or business decision based on information found on this Website. We strongly recommend that visitors contact the software vendor directly to verify all material claims, pricing, features, and compatibility before entering into any agreement.
3.3 Vendor Responsibility for Submitted Content
Vendors who submit listing information, or who have approved listing content, warrant that:
- All submitted information is accurate, complete, and not misleading at the time of submission.
- They hold all necessary rights to any content, images, trademarks, or other materials submitted.
- The submission does not infringe any third-party intellectual property rights, defame any person, or breach any applicable law or regulation.
- They will notify us promptly at support@fencesoftwarehub.com if any listed information becomes inaccurate or out of date.
Vendors accept full legal responsibility for the accuracy and legality of their submitted content and indemnify us against any claim arising from inaccurate, misleading, or unlawful content they have submitted (see Section 11).
3.4 Publicly Sourced Listings
Where we create a listing using publicly available information without direct vendor involvement, the vendor may contact us at support@fencesoftwarehub.com to request amendments, corrections, or removal of the listing. We will endeavour to process such requests within 10 business days. Until corrected, we accept no liability for any inaccuracy in publicly sourced listing information.
4. Vendor Listing Terms
4.1 Submission
By submitting a listing (or approving content we have created), the vendor enters into a binding agreement with us governed by these Terms. The vendor authorises us to display the submitted content on the Website and in any related promotional materials.
4.2 Listing Standards
All listings must comply with our content standards. We reserve the right to refuse, edit, suspend, or permanently remove any listing at our sole discretion, including (but not limited to) where:
- The content is inaccurate, misleading, or likely to deceive visitors.
- The content infringes third-party intellectual property rights.
- The software product is discontinued, no longer available, or the vendor is no longer trading.
- We receive credible complaints from visitors or third parties about the listed product or vendor.
- The listing violates any applicable law or regulation in the UK or US.
- We determine, in our sole discretion, that the listing is not suitable for our directory.
Where we remove a listing for reasons within the vendor's control (e.g. inaccurate content, legal non-compliance), no refund shall be due for any fees paid. Where we remove a listing for our own editorial reasons unrelated to vendor fault, we will consider refund requests on a case-by-case basis (see Section 5.4).
4.3 Free Basic Listings
Free basic listings are provided at our discretion and do not create any contractual entitlement to continued listing. We may remove, amend, or downgrade a free listing at any time without notice or liability.
4.4 No Guarantee of Placement or Results
Paid featured listings and advertising placements guarantee only the display of your content as agreed. We make no representation or warranty as to the number of views, clicks, leads, enquiries, conversions, or any other outcome that may result from a listing or advertisement.
5. Payments, Billing, and Refunds
5.1 Pricing
Current pricing for all paid services is published on the Website. We reserve the right to change pricing at any time. Price changes for monthly rolling subscriptions will be communicated with no less than 30 days' notice. If you do not wish to continue at the revised price you may cancel before the next billing date.
5.2 Monthly Rolling Listings
Paid directory listings are billed on a monthly rolling basis. The following terms apply:
- Payment is taken on the same date each month corresponding to the original start date.
- Listings automatically renew each month unless cancelled.
- To cancel, you must notify us in writing at support@fencesoftwarehub.com at least 5 business days before your next billing date. Cancellation takes effect at the end of the current billing period. You will retain access to your listing until the period end.
- We do not provide refunds for partial months already billed.
5.3 One-Off Payments (Featured Listings and Advertising)
Featured listing placements and advertising positions are billed as one-off payments. Payment is due in full prior to the placement going live on the Website. One-off payments are non-refundable once the placement has been activated, except as set out in Section 5.4.
5.4 Refund Policy
We do not operate a standard refund policy. All refund requests are considered on a case-by-case basis at our sole discretion. Factors we may consider include:
- Whether the service was materially not delivered as described.
- The length of time the service has been active.
- Whether the issue was caused by us or by the vendor.
Refund requests must be submitted in writing to support@fencesoftwarehub.com within 14 days of the relevant charge. We will respond within 10 business days. Any approved refund will be processed to the original payment method within 5–10 business days.
Nothing in this Section affects any statutory rights you may have under applicable law that cannot be excluded by contract.
5.5 Payment Processing
All payments are processed by Stripe, Inc. By making a payment you agree to Stripe's terms of service. We do not store your full payment card details. In the event of a disputed charge or chargeback, you agree to contact us first at support@fencesoftwarehub.com before initiating a dispute with your card issuer.
5.6 Late Payment and Suspension
If a monthly payment fails, we will notify you and attempt to collect the payment again within 5 business days. If payment remains outstanding after 10 business days, we reserve the right to suspend or remove your listing without further notice until all outstanding amounts are settled.
6. Intellectual Property
6.1 Our Intellectual Property
All content on the Website that is not vendor-submitted — including but not limited to the site design, layout, text, graphics, logos, database structure, and code — is owned by or licensed to Fence Software Hub and is protected by UK and international copyright, trademark, and database right laws. You may not copy, reproduce, republish, download, post, broadcast, transmit, or make available to the public any part of our content without our prior written consent.
6.2 Vendor Content Licence
By submitting listing content (including text, images, logos, and trademarks), vendors grant us a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content on the Website and in associated promotional materials (including social media and email marketing) for the duration of the listing and for a reasonable period thereafter for archival and marketing purposes. Vendors retain ownership of their submitted content.
6.3 Prohibited Use of Listing Content
Visitors may not scrape, systematically copy, or use listing content for any commercial purpose without our prior written permission. You may share individual listing URLs for legitimate business research purposes.
7. Acceptable Use
You agree not to use the Website to:
- Submit false, misleading, defamatory, or fraudulent listing information.
- Infringe the intellectual property, privacy, or other legal rights of any third party.
- Upload or transmit viruses, malware, or any other harmful code.
- Attempt to gain unauthorised access to any part of the Website or our systems.
- Scrape, harvest, or systematically extract data from the Website by automated means without our written consent.
- Post or distribute spam, unsolicited communications, or competitor advertising.
- Circumvent, disable, or interfere with security or access-control features of the Website.
- Use the Website in any way that violates applicable UK or US laws or regulations.
We reserve the right to investigate any suspected breach of this Section and to take appropriate action, including suspending or permanently barring access to the Website, removing listings, and reporting conduct to relevant authorities.
8. Disclaimers and No Warranties
THE WEBSITE AND ALL CONTENT, LISTINGS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
8.1 No Endorsement
The presence of a software product in our directory does not constitute an endorsement, recommendation, or approval by Fence Software Hub. We expressly disclaim any affiliation with, or responsibility for, any listed software product or its vendor.
8.2 Accuracy
We do not warrant that listing information is accurate, complete, current, or free from errors. Information may be outdated, incomplete, or incorrect. You rely on listing information entirely at your own risk.
8.3 Availability
We do not warrant that the Website will be available at all times, uninterrupted, or error-free. We may suspend, withdraw, or restrict access to the Website at any time for operational, maintenance, or commercial reasons without notice or liability.
8.4 Third-Party Websites
The Website contains links to third-party websites and software products. We have no control over those websites and accept no responsibility for their content, privacy practices, or availability. Linking does not constitute endorsement.
8.5 UK Statutory Rights
Nothing in these Terms excludes or limits any implied term, warranty, or right that cannot lawfully be excluded under the Supply of Goods and Services Act 1982, the Consumer Rights Act 2015 (where applicable), or any other applicable UK statute.
8.6 US Statutory Rights
Nothing in these Terms limits any right that cannot be waived under applicable US federal or state law, including rights under the Federal Trade Commission Act or applicable state consumer protection statutes.
9. Limitation of Liability
9.1 Exclusion of Indirect Loss
To the fullest extent permitted by applicable law, we shall not be liable to you for any:
- Loss of profits, revenue, or anticipated savings.
- Loss of business, contracts, or opportunities.
- Loss of goodwill or reputation.
- Loss or corruption of data.
- Any indirect, special, incidental, or consequential loss or damage of any kind.
This exclusion applies whether the loss arose in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether or not we had been advised of the possibility of such loss.
9.2 Cap on Liability
Our total aggregate liability to any vendor in connection with these Terms or the services provided under them shall not exceed the total fees actually paid by that vendor to us in the three (3) months immediately preceding the event giving rise to the claim.
For visitors (who pay nothing for access), our aggregate liability shall not exceed £100.
9.3 Software Purchasing Decisions
We accept no liability whatsoever for any loss or damage arising from a visitor's decision to purchase, subscribe to, or use any software product listed on the Website. Any such decision is made entirely at the visitor's own risk and based on their own assessment of the software and its vendor.
9.4 Exceptions
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot lawfully be excluded under English law or applicable US law.
10. User-Submitted Content and Reviews
Where the Website permits users to submit reviews, comments, or other content, the following applies:
- You retain ownership of any content you submit but grant us the same licence described in Section 6.2.
- You warrant that your submitted content is accurate, honest, and does not defame, harass, or infringe the rights of any third party.
- We reserve the right to moderate, edit, or remove any submitted content at our sole discretion without notice.
- We are not responsible for the content of user-submitted reviews but will remove content that is reported to us as defamatory, unlawful, or in breach of these Terms upon reasonable investigation.

11. Indemnification
You agree to defend, indemnify, and hold harmless Fence Software Hub, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Website in breach of these Terms.
- Any listing content you have submitted that is inaccurate, misleading, defamatory, or in breach of third-party rights.
- Any claim by a third party (including a visitor or another vendor) arising from your listing content or your conduct.
- Your violation of any applicable law or regulation.
We reserve the right to assume exclusive control of any matter subject to indemnification by you, at your cost.
12. Termination and Suspension
12.1 Termination by Vendor
Vendors may terminate their paid listing subscription in accordance with Section 5.2. Vendors may request removal of a free or publicly sourced listing at any time by emailing support@fencesoftwarehub.com. We will process removal requests within 10 business days.
12.2 Termination or Suspension by Us
We may suspend or permanently terminate any listing, or restrict any user's access to the Website, at our sole discretion and without prior notice, including where:
- We reasonably believe these Terms have been breached.
- A vendor fails to pay amounts due.
- We receive credible complaints about a listed product or vendor.
- We decide in our sole discretion to discontinue, restructure, or modify the directory.
In the event of suspension or termination for breach, no refunds shall be payable. In the event we terminate for our own commercial reasons unrelated to any breach by the vendor, we will consider refund requests under Section 5.4.
12.3 Effect of Termination
Upon termination or expiry of a listing, the listing will be removed from the Website. Clauses relating to intellectual property, liability, indemnification, governing law, and dispute resolution shall survive termination indefinitely.
13. Modifications to These Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on the Website and, where we hold your contact details, by email, no less than 14 days before the changes take effect.
Your continued use of the Website or any paid service after the effective date of modified Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must cease using the Website and, if applicable, cancel your subscription before the effective date.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
14.2 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter. You irrevocably submit to the exclusive jurisdiction of those courts.
14.3 US Customers — Mandatory Arbitration Waiver Notice
We are a UK company and these Terms are governed by English law. We do not operate a mandatory arbitration clause or class-action waiver for US customers. US customers retain the right to pursue claims in courts of competent jurisdiction, subject to applicable conflict-of-laws rules, and retain all rights under applicable federal and state consumer protection statutes that cannot be contractually waived.
14.4 Informal Resolution
Before initiating any formal legal proceedings, both parties agree to attempt to resolve disputes informally. You may contact us at support@fencesoftwarehub.com with a written description of the dispute. We will endeavour to respond within 15 business days. This informal process does not affect any applicable limitation periods.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any written service agreement entered into with a vendor, constitute the entire agreement between the parties with respect to the Website and services and supersede all prior representations, agreements, and understandings.
15.2 Severability
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions.
15.3 Waiver
Our failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of our right to enforce that or any other provision on any subsequent occasion.
15.4 No Partnership or Agency
Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between the parties. Neither party has authority to bind the other.
15.5 Force Majeure
We shall not be liable for any failure or delay in performance of our obligations caused by circumstances beyond our reasonable control, including acts of God, pandemic, cyber-attack, failure of third-party systems, or changes in applicable law.
15.6 Assignment
We may assign or transfer our rights and obligations under these Terms to any successor entity or purchaser of our business without your consent. You may not assign your rights under these Terms without our prior written consent.
15.7 Notices
All formal notices under these Terms must be sent in writing to support@fencesoftwarehub.com or by post to C&L Trading Co. Limited, 167-169 Great Portland Street, London, England, W1W 5PF, UK. Notices sent by email are deemed received on the next business day following sending.
